Terms, Conditions and Instructions of Sale

  1. COMPANY PROFILE. Cesar-Scott, Inc. is a manufacturer of wire harnesses, cable assemblies, electro-mechanical assemblies, electronic gas ignitors, switch harness assemblies and seller of heat shrink tubing and electronic components for Contract Manufacturers (CMs), Original Equipment Manufacturers (OEMS), and Original Design Manufacturers (ODMs) for the appliance, automotive, custom, and electronic markets worldwide.

  2. QUOTE VALIDITY. Quote validity as stated in our offer.

  3. CURRENCY. Our products are quoted in US Dollars unless otherwise stated.

  4. SHIPPING. 
    1. Freight on Board (FOB) El Paso, Texas USA unless otherwise stated.
    2. Shipping dates are estimated only and not guaranteed. Cesar-Scott, Inc. shall not be liable for failure to meet such dates unless such failure is caused by its own fault or negligence. The causes that Cesar-Scott shall not be liable include but are not limited to, delay in delivery or non-delivery or any loss or damage resulting from such delay from causes beyond its control including but not limited to fire, strikes, labor disturbances, acts of God, acts of the Purchaser, acts of civil or military authority, riot, embargoes, inability to obtain transportation facilities, wrecks or delays in transportation, or inability to obtain necessary labor, materials, or manufacturing facilities to such causes.

  5. PRICE CHANGES. Cesar-Scott, Inc. reserves the right to re-quote parts if the ordered quantities fall below the Minimum Ordered Quantities (MOQ) or Estimated Annual Usages (EAU) stated in the original quotation or in any long-term contractual agreement we may have in place.

  6. COPPER SURCHARGE. Cesar-Scott, Inc. indicates a Cu Base price +/-10% at the time of quote (based on Comex + rod charge) from our principal wire manufacturers. Due to high volatility in copper prices, in the purchase of the wire we use in our customers products, Cesar-Scott will bill its customers the surcharge above the nominal Cu Base used in our quotation only if 10% number is exceeded. If this goes below the 10%, we will credit the difference in the nominal copper base. This charge will be reflected as a line item in our invoices to the customer at the time of a shipment.

  7. RUSH ORDERS.
    1. Special Import. Import, export, duties and taxes related to the same rush order.
    2. Cesar-Scott can rush shipment for an expedite fee. These costs are considered “Pass thru Costs”.

  8. PAYMENT TERMS. Check, wire transfer, ACH remittance, Credit card or Net 30 days after credit approval.

  9. DRAWINGS. Drawings generated by Cesar-Scott, Inc. and signed by the customer are property of Cesar-Scott to be used by the customer and ONLY Cesar-Scott for the production of its products, while manufactured at Cesar-Scott. It is not permissible for Cesar-Scott drawings to be used at another supplier. If a Non-Disclosure Agreement (NDA) is in place or not this constitutes a violation of the “Confidential Information” clause between Cesar-Scott and its customers.
  10. ENGINEERING CHANGE NOTICE (ECN). In the event of an engineering change Cesar-Scott will follow its internal process. It is the customer’s responsibility to notify Cesar-Scott, Inc. of any changes, updates, or revisions to their internal drawings, documents, and forms.

  11. WARRANTY DISCLAIMER. Our standard warranty is one year from the date of invoice/shipment on the workmanship of our products. We will also extend any additional warranty given to us by our component manufacturers to our customers.

  12. RETURNS. All claims for shortage and/or rejected material must be made within 30 days from invoice date. For any non-returnable raw material, work-in process, and finished goods, customer is 100% liable.

  13. INVENTORY. Customer shall take entire purchase order quantity within a period of 13 months from the date the order was confirmed.

  14. FORECAST. For customers that provide a forecast based on a Material Requirements Planning (MRP) or other systems the responsibilities for finished goods, work in process, and raw materials will be reviewed and agreed to jointly.

  15. CANCELLATION. Buyer may terminate or suspend its order for any or all of the Goods covered by the agreement upon Seller’s written consent or pursuant to Seller’s Non-Cancellable Non-Returnable policy.
